The Firm does not offer services to consumers. By accessing this website or engaging with the Firm, you represent and warrant that you are not acting as a consumer within the meaning of any applicable consumer protection laws, including but not limited to those of the European Union, the United States, or any other jurisdiction.

All advice is provided strictly in a strategic, conceptual, and advisory capacity. All decisions, actions, and outcomes remain solely the responsibility of the client.

4. No Reliance / No Guarantee

Any information, insight, or advisory provided by the Firm is offered on an "as-is" and "as-available" basis.

You expressly acknowledge and agree that:

• no statement, observation, suggestion, or communication by the Firm constitutes advice upon which you are entitled to rely;

• you assume full responsibility for all decisions and actions;

• outcomes depend on numerous external factors beyond the Firm’s control.

The Firm makes no representations or warranties of any kind and does not guarantee outcomes, results, or success.

5. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Firm shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages.

• The Firm shall not be liable for loss of reputation, income, opportunity, business, standing, goodwill, emotional distress, or personal harm.

• The Firm shall not be liable for third-party actions, omissions, interpretations, or reactions.

If, notwithstanding the foregoing, liability is found to exist, such liability shall be strictly limited to the total fees paid to the Firm for the specific engagement giving rise to the claim.

6. Indemnification

You agree to indemnify, defend, and hold harmless the Firm, its founders, partners, advisors, contractors, affiliates, and representatives from and against any and all claims, liabilities, damages, losses, costs, and expenses (including legal fees) arising from:

• your use of the website or services;

• your reliance on advisory communications;

• decisions or actions taken by you or third parties;

• breach of these Terms.

7. U.S.-Specific Waivers

If you are a citizen of, resident of, or otherwise located in the United States of America, you expressly and irrevocably agree that:

• you waive any right to a jury trial;

• you waive any right to participate in class actions, collective actions, or representative proceedings;

• claims may be brought only on an individual basis;

• no claim may be brought more than six (6) months after the alleged event.

These waivers apply to the fullest extent permitted by law.

Any communication with the Firm is treated as confidential unless otherwise agreed in writing.

Confidentiality does not create legal privilege and does not override lawful disclosure obligations.

9. No Professional Relationship Until Formal Engagement

Accessing this website, submitting inquiries, or participating in preliminary discussions does not create a professional, fiduciary, agency, partnership, or employment relationship.

A formal advisory relationship exists only upon execution of a written engagement agreement signed by both parties.

11. Governing Law and Exclusive Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to the Firm, its services, or this website shall be governed by and construed in accordance with the laws of the Republic of Croatia, without regard to conflict-of-law principles.

You irrevocably agree that the exclusive jurisdiction and venue for any dispute shall be the competent courts of Zagreb, Republic of Croatia, and you waive any objection based on forum non conveniens or similar doctrines.

The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
